These terms apply when you book TikTok consultancy, strategy, training or ongoing strategic support with me, Michelle Haslam.

They are written for business clients, including businesses, marketing teams and agencies.

By agreeing to work with me, you agree to these terms unless we've agreed something different in writing.

1. What you're booking

The exact work I'll provide, the price and any agreed timescales will be confirmed before we start.

Depending on what you've booked, this might include a TikTok content audit, strategy work, a 30-day content plan, online strategy sessions, ongoing strategic guidance or in-house training.

If you want to add something that wasn't included in the original scope, we can agree any additional work and cost separately.

2. Payment

For one-off work, payment is due in full before I start unless we've agreed otherwise in writing.

Where I've agreed to invoice on payment terms, invoices are due within 14 days unless we've agreed different terms in writing.

For ongoing monthly work, payment is due monthly in advance.

If an invoice isn't paid when it's due, I may pause work or withhold delivery until the outstanding amount has been paid.

I also reserve my statutory rights in relation to late commercial payments.

3. Ongoing Strategic Guidance

Ongoing Strategic Guidance has an initial minimum commitment of three months.

After the first three months, the arrangement continues on a rolling monthly basis. Either of us can end it by giving 30 days' written notice.

Your level of support and monthly fee will be agreed before we start.

4. Cancelling or moving a session

I understand that plans change.

For an online Strategy Session, you can reschedule with at least 48 hours' notice.

For in-person Training, I need at least 7 days' notice to reschedule.

If you cancel or ask to move a booking with less notice than this, I reserve the right to retain the fee or charge for the time that was reserved.

If I've already incurred non-refundable travel, accommodation or other agreed expenses, you'll still be responsible for those costs.

If I ever need to cancel or rearrange a session, I'll give you as much notice as reasonably possible and we'll arrange another date. If I can't provide the service, I'll refund any fee you've paid for the part I'm unable to provide.

5. Travel and accommodation

Travel, accommodation and other reasonable expenses required for in-person Training aren't included in the advertised training price unless I specifically say otherwise.

I'll agree these with you before incurring any significant costs.

6. Working with agencies

Where an agency books me to work on an account belonging to one of its clients, the agency will normally be my client and will be responsible for my fees.

The agency can add its own fee or mark-up when charging its client.

If it makes more sense for the end client to contract and pay me directly, we can agree that separately in writing.

7. TikTok results

I'll give you my professional advice based on my experience, research, the information available to me and what I think will give you the best chance of getting results.

I can't guarantee a particular number of views, followers, enquiries, leads, sales or any other result.

TikTok changes constantly, and performance is affected by plenty of things outside my control, including the content you create, how consistently the strategy is implemented, audience behaviour and changes to the platform itself.

8. Your responsibilities

I'll need accurate information and reasonable access to anything we've agreed I need in order to do the work.

You'll also be responsible for implementing the advice or strategy unless we've specifically agreed otherwise.

You remain responsible for checking that content published by your business complies with any laws, regulations, advertising requirements, industry rules or internal policies that apply to you.

9. Strategy, content plans and training materials

Any strategy documents, audits, content plans, notes, templates or training materials I create remain my intellectual property unless we've specifically agreed otherwise in writing.

You have permission to use the materials I create for the business or client they were created for.

You can't resell them, distribute them to other businesses or clients, turn them into your own course or training programme, or present my materials as your own work without my written permission.

If I'm working through an agency, materials created for the agreed end client can be used by the agency for that client's work.

10. Calls, transcripts and AI

Online strategy and ongoing guidance calls may be transcribed so that I can accurately review what we've discussed and prepare follow-up notes, actions and strategy.

I may use third-party AI-assisted tools to help me summarise or analyse those transcripts and organise the information discussed during our calls.

AI tools don't make the strategic decisions for your business. Any strategy, recommendations or professional judgement I give you are determined by me.

Where personal information is processed as part of transcription or AI-assisted analysis, it will be handled in line with my Privacy Policy and the applicable data-protection requirements.

Please don't share highly sensitive, confidential or personal information during a call unless it's genuinely necessary for the work we're doing.

11. Confidentiality

I'll treat confidential business information you share with me as confidential and won't deliberately disclose it to other clients or third parties except where necessary to provide the agreed services, where you've authorised me to do so, or where I'm legally required to.

You agree to treat any confidential information I share with you in the same way.

Nothing in this section prevents the use of information that is already publicly available or has been obtained lawfully from another source.

12. Third-party platforms

My work may involve or relate to third-party platforms and services, including TikTok and other social media platforms.

I don't control those platforms and I'm not responsible for changes to their algorithms, features, policies, availability or decisions affecting your account.

13. Problems with the work

If you're unhappy with something I've provided, please tell me as soon as possible so I have a reasonable opportunity to look into it and, where appropriate, put it right.

14. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

Subject to that, I won't be responsible for indirect or consequential losses, loss of profit, loss of anticipated savings, loss of business opportunities or losses caused by decisions or changes made by third-party platforms.

My total liability arising from the services I've provided will not exceed the total amount you've paid me for the service giving rise to the claim.

15. Ending our work together

Either of us can end an engagement if the other seriously breaches these terms and, where the problem can reasonably be fixed, doesn't fix it after being given a reasonable opportunity to do so.

I may also pause or end work if invoices remain unpaid, if I'm unable to obtain information reasonably needed to do the work, or if continuing the engagement would require me to do something unlawful or professionally inappropriate.

Fees already earned and expenses already incurred remain payable.

16. Privacy

Information about how I collect and use personal information is set out in my Privacy Policy.

My website also has a separate Cookie Policy explaining how cookies and similar technologies are used.

17. Changes to these terms

I may update these terms from time to time.

The terms that apply to a particular piece of work will normally be the version in place when that work is booked, unless we agree otherwise in writing.

18. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over any dispute arising from our agreement.
